PROGRAM INFORMATION
Although the assignment agreement itself can be a relatively simple document, the considerations that go into the decision as to whether to assign or sublet are often complex, as is the related due diligence.
The panelists will discuss, among other things:- Factors for a tenant and prospective assignee/subtenant to consider in assignment vs. sublet decisions, including the underlying economics of the two types of transactions, bankruptcy issues, and relative exposure to risk for the tenant and its transferee;
- Assignments pro tanto;
- The due diligence that must be conducted by both the assignor and the assignee, including lease review, physical plant investigation, and estoppel certificates;
- The assignment agreement, including the scope of the assignees assumption obligation, indemnification issues, treatment of the security deposit, and securing the assignor's or assignee's monetary obligations; and
- Landlord consents (and why can't the landlord just say "yes"?)
