The application of legal ethics rules to the transactional practice can be complex and bewildering even to experts. This program is designed to assist good business lawyers, who have little time or inclination to study the ethics rules, to spot issues, and to seek help where appropriate.
Key areas will include:- Conflicts of Interest: What should business lawyers consider when taking on new clients, particularly involving entities and multiple parties?
- Confidentiality: How do the ethics rules on confidentiality relate to the attorney-client privilege and the work product doctrine? What can the business lawyer disclose about their practice to others?
- Communication with represented parties: When can a business lawyer communicate with officers or employees of other parties in a transaction?
- Negotiation Ethics: How far can a business lawyer go in extolling their client's business or the value of an important asset?
- Client Fraud: The business client appears to be up to something fishy. Does that have consequences for the lawyer?
- "We've made a mistake:" Are discussions within the law firm about suspected lawyer miscues protected by the attorney-client privilege? When must such matters be reported to clients?
