In light of recent corporate scandals and regulatory actions, corporate board members should understand their duty to adequately oversee an institutions compliance function, also known as the duty of oversight. While it is certainly not expected or demanded that directors be able to predict the future, directors still must implement compliance and monitoring programs within the corporation. Moreover, once implemented, directors must oversee such programs and investigate possible law or corporate policy violations to which they are alerted. Nuances to these obligations, including continued compliance, response to potential violations, and the need to investigate with either in-house or outside counsel complicate a director's duties in such circumstances. In adhering to certain guidelines, directors invest the time and money that ultimately benefit and protect not only themselves individually, but the entire corporation.
