The Model Business Corporation Act was prepared by the ABA Business Law Section's Corporate Law Committee and serves as a model for corporate statutes throughout the United States. It has been adopted in whole or substantial part as the corporation statute of 30 states, while selected provisions of the Act have been adopted by many other states. The success of the Act is due to the many distinguished lawyers, judges, general counsels, and legal academics who have devoted serious attention to the study of the most important corporate law issues of the day and to the revision of the Act to address those issues.
This 2013 Supplement to the Fourth Edition of the Model Business Corporation Act Annotated contains all amendments to the Model Business Corporation Act throughout August 2013, as well as relevant case summaries, law review citations, and amendments to the corporation statutes of the 50 states, the District of Columbia, and Puerto Rico.
The Model Act is designed as a free-standing general corporation statute that can be enacted substantially in its entirety by a state legislature. Thirty-two jurisdictions have adopted all or substantially all of the Model Act as their general corporation statute, and two others have statutes based on the 1969 version of the Act. Many other states have adopted selected provisions of the Model Act.
