Description

Information on markets and the activities of competitors is the essential lifeblood of most corporate decision making. Often though, the only source of this information is the competitors themselves. Whether it is a benchmarking exercise, a trade association, or outside consultant that has been hired to compile information on sales growth or market shares based on production figures, these information exchanges expose the participants to antitrust risk. When might an agreement be inferred? Might the FTC view an exchange as a "facilitating practice" that can be reached by Section 5? Could the effect of the information exchange on the participants' market behavior be deemed a violation even if there is no actual agreement on price or output?

This program explores these and other issues under both U.S. law and the arguably more stringent EU standards, and provide a discussion of "best practices" and other practical advice for in-house counsel on how to manage the risks in this area.
