The Model Stock Purchase Agreement Revisions Task Force is revising the provisions and related Commentary and Ancillary Documents of the Committee's Model Stock Purchase Agreement, which was first published in 1995. The revisions will encompass changes in deal structure, practices and law that have developed since the Model Stock Purchase Agreement was published. The Ancillary Documents will be expanded to include appendices dealing with the acquisition of partnership and limited liability company interests, a protocol for closings by telephone or email, and the sale of a subsidiary. Since the Model Stock Purchase Agreement is a Buyer's first draft. The Task Force will also prepare a Seller's Response, which is intended to put the buyer-friendly provisions of the Model Stock Purchase Agreement in perspective and provide appropriate seller's responses to a variety of provisions.
